Terms & Conditions of Commercial Supply

1. Commercial Scope & B2B Engagement

These Terms & Conditions govern all price inquiries, formal quotations (RFQ), sales contracts, and equipment deliveries executed between Pengju Robotics Co., Ltd. ("Seller," "we," "us") and the commercial customer ("Buyer," "Purchaser").

Pengju Robotics operates exclusively as an international business-to-business (B2B) enterprise. By requesting a quotation or executing a proforma invoice, the Buyer represents that it is acting as a commercial entity (such as an equipment dealer, automation system integrator, manufacturing plant, or maintenance contractor) and possesses the technical capability to specify, handle, and install heavy industrial robotic machinery.

2. Quotations, Part Numbers & "Subject to Prior Sale"

• Quotation Validity: Formal quotations and price estimates are valid for seven (7) calendar days from issuance unless otherwise noted in writing.
• Dynamic Stock Policy: Because our physical inventory of pre-owned robots and rare components experiences rapid turnover, all items remain subject to prior sale until formal receipt of payment confirmation (bank swift copy) or signed Proforma Invoice (PI).
• Part Number Verification: In the procurement of electronic components (including teach pendants, servo drives, PCBs, and power modules), the Buyer is strictly responsible for verifying that the OEM Part Number matches the technical requirements of the intended industrial arm or controller. Pengju Robotics guarantees delivery of the exact Part Number agreed upon in the sales confirmation.

3. Equipment Condition & 45-Item Outgoing Inspection Standard

Unless specifically designated as "New Surplus," all equipment and components offered by Pengju Robotics are pre-owned, surplus, or decommissioned industrial automation assets.

• Pre-Shipment Verification: Every complete robot arm, controller cabinet, and electronic component undergoes our proprietary 45-Item Outgoing Inspection Standard before packaging. This includes visual checks, mechanical axis lubrication verification, circuit power-on tests, TCP repeatability checks, and electrical pin integrity tests.
• Testing Records: Upon request prior to dispatch, testing logs, video verifications, or operational photos of the specific serialized asset will be provided to the Buyer for sign-off.
• Software & Licenses: Industrial robot systems may contain pre-installed operating firmware necessary for bench testing. Pengju Robotics does not sell, license, or transfer proprietary OEM application software packages. The Buyer remains responsible for complying with the software licensing terms of the respective OEM.

4. Pricing, Currency & Payment Terms

• Commercial Currency: All prices are quoted in United States Dollars (USD) or Euros (EUR) on an EXW (Ex Works), FOB, or CIF basis in accordance with Incoterms 2020, as defined on the commercial invoice.
• Payment Execution: Unless customized credit terms have been formally executed in a bilateral supply agreement, standard terms require 100% telegraphic transfer (T/T wire transfer) prior to warehouse dispatch.
• Import Taxes & Tariffs: Quotations do not include destination import duties, value-added taxes (VAT), local customs clearance fees, or broker administrative charges. All destination clearance costs remain the exclusive obligation of the Buyer.

5. Shipping, Export Logistics & Risk of Loss

• Express Air Freight: Small electronic parts, teach pendants, and emergency maintenance components are dispatched via international courier services (DHL, FedEx, UPS). Tracking numbers are furnished immediately upon handover.
• Sea Freight & Heavy Machinery: Complete robotic systems, heavy controllers, and bulk pallet lots are secured in heavy-duty export-standard wooden crates or loaded into ocean containers.
• Transfer of Risk: Risk of loss or damage passes to the Buyer upon transfer of the goods to the designated carrier or freight forwarder in accordance with the applicable Incoterms. While Pengju Robotics packages all shipments to rigorous export industrial standards, commercial transit insurance is strongly recommended.

6. Acceptance Period, DOA Reporting & Warranty

• Receiving & Inspection Window: The Buyer must inspect all goods within fourteen (14) calendar days of physical receipt. Any claims of transport damage, external defect, missing components, or Dead-on-Arrival (DOA) status must be reported in writing with photographic or video evidence within this period.
• Pengju Limited Warranty: Tested pre-owned components carry a 30-day functional replacement or repair warranty from the date of delivery, unless an extended warranty is specified on the invoice. If a part proves functionally defective under proper operational conditions, Pengju Robotics will, at its option, replace the unit, repair it, or issue a credit.
• Warranty Void Conditions: The warranty is immediately null and void if:
  1. The proprietary warranty seal, serial barcode, or tamper-evident marking has been removed, broken, or altered.
  2. The component has been subjected to incorrect voltage input, improper phase wiring, environmental flooding, mechanical drops, or unqualified repair attempts.

7. Limitation of Liability & Consequential Damages

Industrial machinery operation entails inherent engineering risks. Pengju Robotics provides surplus components to professional organizations capable of evaluating operational safety.

The total cumulative liability of Pengju Robotics for any claim arising from contract, warranty, tort, or product delivery shall strictly not exceed the net purchase price paid by the Buyer for the specific defective unit or item giving rise to the claim.

8. Force Majeure & Governing Law

• Force Majeure: Neither party shall be liable for delivery failures or execution delays caused by events beyond reasonable control, including natural disasters, port blockades, export embargoes, geopolitical trade restrictions, carrier labor strikes, or airline cargo groundings.
• Dispute Resolution: These terms and any commercial transactions executed hereunder shall be interpreted and governed by the laws of the People's Republic of China, with international sales governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG) where applicable. Both parties agree to seek amicable resolution of disputes prior to initiating formal legal proceedings.
